1. Who we are

GreenCore Solutions Corp. ("GSC", "we", "us") is a company incorporated in British Columbia, Canada, with its registered office at 260–4611 Viking Way, Richmond, BC V6V 2K9, Canada, D-U-N-S 24-336-6774. GSC develops and operates AI Agents for Consumer Packaged Goods (CPG) and Beauty & Personal Care (BPC) brands and operates the AI CPG Knowledge Graph and the GSC AI Agent Stack. Our Australian and Asia-Pacific operations are conducted with GSC Agentic Pty Ltd, Level 1, 63–73 Ann Street, Surry Hills NSW 2010, Australia.

2. Scope and acceptance

These terms govern your access to and use of every website, page, machine door, record, application programming interface, agent card and AI Agent published by GSC (together, the "Services"), whether you access them as a person or through software acting on your behalf, including an AI Agent. By accessing the Services you accept these terms on your own behalf and on behalf of any software you direct. If you do not accept them, do not use the Services.

3. The record

The Services publish a record: product, maker, retailer, pack, jurisdiction and compliance facts, each carried with a source and a read date where one exists. The record is served as found. It is information, not advice, and it is not a representation that any product is lawful, compliant, available or suitable in any market. Every order that passes through the GSC AI Agent Stack is reviewed and signed by a person before it ships; that human review is part of the Services and not a warranty of the record.

4. Machine access

GSC doors answer AI Agents over the published open standards — the Model Context Protocol (MCP), the Agent-to-Agent protocol (A2A) and the x402 payment protocol — as documented on each surface. Access is granted for reading and acting on the record in the ordinary course of agentic commerce. You may not:

copy, scrape or mirror the record in bulk for redistribution, resale or the training of a competing dataset;
remove, alter or misattribute source, date, state or signature fields carried on any record;
impersonate another agent, operator or principal, or present a GSC receipt, card or signature as your own;
probe, overload or interfere with any door, keyring, registry or settlement rail.

GSC may rate-limit, suspend or revoke machine access at any time to protect the record and its users.

5. Payments and receipts

Where a door answers a payment request under x402, the terms of that request — asset, amount, network and receiving address — are stated in the 402 response and nowhere else. Settlement occurs on a public network between the paying agent and GSC. Each settlement is recorded by a receipt signed by GSC that resolves at its published address; the receipt is the record of the transaction. Payments are final once settled on the network. Nothing on any page constitutes a price list, a quotation or an offer.

6. Intellectual property

The Services, the record, the AI CPG Knowledge Graph, the SPARKS classification, the ACM-68000 signal vocabulary, the SM-ECO-10060 manifest, the GSC ring mark and all associated software, designs and text are the property of GreenCore Solutions Corp. or its licensors and are protected by copyright, trademark and database rights. Third-party names and marks appear on the Services solely as facts of record and remain the property of their owners. Nothing in these terms grants you any right in GSC's marks or in the record beyond the access described in Section 4.

7. Investor materials

Pages and documents addressed to investors are provided for information only. They may contain forward-looking statements that reflect management's current expectations and assumptions and are subject to risks and uncertainties; actual results may differ materially. Nothing on the Services is an offer to sell or a solicitation of an offer to buy any security in any jurisdiction. Any offer is made only through official offering documents.

8. Disclaimer of warranties

The Services and the record are provided "as is" and "as available". To the fullest extent permitted by law, GSC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, availability and non-infringement. GSC does not warrant that any door will be uninterrupted, that any record is current, or that any order signed through the Services will be accepted or fulfilled by any counterparty.

9. Limitation of liability

To the fullest extent permitted by law, GreenCore Solutions Corp., its affiliates, directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Services, however caused and under any theory of liability. GSC's total liability for all claims arising out of the Services in any twelve-month period will not exceed the amounts you paid to GSC for the Services in that period, or one hundred dollars ($100) if you paid nothing.

10. Indemnity

You will indemnify and hold harmless GSC and its affiliates from any claim, loss or expense, including reasonable legal fees, arising from your use of the Services, the conduct of any software you direct, or your breach of these terms.

11. Third-party services

The Services run on and interoperate with third-party infrastructure, including Microsoft Azure, Google Cloud, Cloudflare, public payment networks and the AI systems that read the record. GSC is not responsible for the availability, conduct or terms of any third-party service, and your use of those services is governed by their own terms.

12. Changes

GSC may update these terms and the Services at any time. The effective date at the top of this page is the date of the current version. Continued use of the Services after a change is acceptance of the change.

13. Governing law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. The courts of British Columbia have exclusive jurisdiction over any dispute arising out of the Services, and you submit to that jurisdiction.
